Terms of Service

Article 1 — Acceptance of This Agreement
1.1. These Terms of Service (this "Agreement") set out the conditions under which SemSolved (the "Company," "we," or "us") makes its website, browser extension, study bot, and connected features (collectively, the "Service") available to you (the "User" or "you"). This Agreement takes effect the moment you install, access, or otherwise use any part of the Service.
1.2. By proceeding, you represent that you have read this Agreement in full, that you understand it, and that you consent to be bound by every provision within it. Should any provision be unacceptable to you, you are directed to cease all use of the Service without delay.
1.3. Where you have not yet reached the age of legal majority applicable to you, you may use the Service only with the review and permission of a parent or legal guardian, who accepts this Agreement on your behalf.
Article 2 — Description of the Service
2.1. The Service is an independent, browser-resident study aid. It assists Users in reviewing and completing coursework hosted on Apex Learning and Edmentum by generating candidate answer suggestions, analyzing questions, and organizing study activity.
2.2. The Service is designed to operate on common assignment formats, including multiple-choice items, fill-in-the-blank prompts, and comparable question types encountered within Apex Learning and Edmentum modules, mastery tests, and lessons.
2.3. The Service functions as a client-side utility within your browser. It does not circumvent authentication, defeat access controls, or extract, host, or relay protected content from the servers of any third party.
2.4. The Service is furnished strictly as a supplement to genuine study effort. It is not a substitute for a User's own comprehension, reasoning, or engagement with the underlying material, and it must not be treated as such.
Article 3 — Permitted Use and Academic Integrity
3.1. You agree to use the Service lawfully, ethically, and in a manner consistent with the rules, honor codes, and academic-integrity policies of your school, program, or institution.
3.2. You shall not employ the Service to obtain an unfair academic advantage, to commit fraud, to misrepresent authorship of work, or to contravene the policies of any educational provider.
3.3. Responsibility for confirming that your particular use of the Service is permitted under the rules that govern you rests with you alone. The Company does not, and cannot, make that determination on your behalf.
3.4. You acknowledge that misuse of the Service may expose you to consequences imposed by third parties, which may include grade penalties, invalidation of credits, suspension, expulsion, or lasting effects on your academic standing and reputation. The Company bears no responsibility for any such outcome.
Article 4 — Independence and Non-Affiliation
4.1. The Company is an independent provider. It is not affiliated with, sponsored by, endorsed by, or otherwise connected to Apex Learning, Edmentum, or any school, publisher, or learning platform.
4.2. All trademarks, service marks, product names, and logos referenced within the Service remain the property of their respective owners and are used solely for identification, descriptive, and compatibility purposes.
4.3. The Service is developed, maintained, and distributed solely by the Company and operates separately from the systems, databases, and infrastructure of any third-party platform.
Article 5 — Disclaimer of Warranties
5.1. The Service is provided on an "as is" and "as available" basis, with all faults and without warranty of any kind, whether express, implied, or statutory.
5.2. Without limiting Section 5.1, the Company does not warrant that any answer or suggestion will be accurate, complete, or reliable; that the Service will be uninterrupted, timely, or error-free; that the Service will improve any academic result; or that the Service will remain compatible with every assignment type or platform update.
5.3. You accept that the outputs of the Service may be incomplete or incorrect and that verifying them against the requirements applicable to you is your responsibility.
Article 6 — Fees, Billing, and Non-Refundability
6.1. Access to paid features requires a subscription for the term selected at the point of purchase. Subscription terms may include weekly, monthly, quarterly, and annual periods, each conferring access for the corresponding duration once activated.
6.2. All payments are final. Except where a refund is required by a non-waivable law, every purchase is non-refundable, and subscriptions may not be exchanged, transferred, or credited toward another term.
6.3. A subscription term begins upon activation through the Service interface. You are responsible for safeguarding your account credentials, and the Company will not issue refunds or replacement access for accounts compromised through your own negligence.
6.4. Subscriptions expire automatically at the close of their term. Tracking your subscription status and renewing before expiration is your responsibility; the Company provides no refund or extension for a lapsed subscription.
Article 7 — Limitation of Liability
7.1. To the fullest extent permitted by law, the Company and its personnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of data, productivity, academic opportunity, credits, or reputation, arising from or relating to your use of, or inability to use, the Service.
7.2. The Company shall not be liable for any disciplinary measure, penalty, or sanction imposed upon a User by any third party, whether or not the Service is alleged to have contributed to it.
7.3. The Company shall not be responsible for interruptions or degradations attributable to factors beyond its reasonable control, including changes to third-party platforms, network failures, or revisions to institutional policy.
Article 8 — Assumption of Risk
8.1. You use the Service entirely at your own risk and on your own judgment. You alone determine whether, when, and how to rely on any output the Service produces.
8.2. By continuing to use the Service, you knowingly and voluntarily assume all risk associated with that use, including any academic, disciplinary, financial, or legal consequence that may follow.
Article 9 — Amendment of These Terms
9.1. The Company may revise this Agreement at its discretion. Revisions take effect upon posting to the website, and the "Last Updated" date above reflects the most recent revision.
9.2. Your continued use of the Service after a revision is posted constitutes your acceptance of the revised Agreement. If a revision is unacceptable to you, your sole remedy is to discontinue use of the Service. This Agreement is governed by applicable law.
Article 10 — Entire Understanding and Acknowledgment
10.1. This Agreement constitutes the entire understanding between you and the Company concerning the Service and supersedes any prior understanding on the same subject.
10.2. By using the Service, you acknowledge that you have read and understood this Agreement, that you accept full responsibility for your conduct while using the Service, and that you will uphold the academic-integrity obligations described in Article 3.
